The following is a legal agreement between you or the employer or other entity on whose behalf you are entering into this agreement and Alila Medical Media. Please read these Terms of Service (TOS) carefully before downloading any images/videos. By purchasing any image/video, you agree to be bound by the terms of these TOS.
All Images/Videos/PDF files on Alila Medical Media website and all made-to-order (custom made and custom editing) Images/Videos are protected by United States and international copyright laws and treaties. Alila Medical Media owns all rights, including the copyrights in and to the Images/Videos/PDF files. Alila Medical Media reserves all rights in and to the Images/Videos/PDF files not expressly granted to you by the terms of selected license.
1. PDF LICENSE: By purchasing the selected PDF files you hereby agree and acknowledge that you are not acquiring any right, title or interest in or to the content of the PDF file(s) or any associated copyrights, other than the right to possess, hold and use the PDF file(s) as personal study notes and for school works/projects. Furthermore, you agree that you will NOT copy, duplicate, distribute or otherwise reproduce the content of the PDF files. Exception: PDF "Teacher's license" allows the teacher (licensee) to distribute the PDF file(s) to up to 100 of his or her own students with the condition that the teacher (licensee) is responsible for proper use by his or her students.
2. PRINT LICENSE: By purchasing the selected prints you hereby agree and acknowledge that you are not acquiring any right, title or interest in or to the images or any associated copyrights, other than the right to possess, hold and use the prints. Furthermore, you agree that you will NOT scan, copy, duplicate, distribute or otherwise reproduce the images and/or the prints.
3. STUDENT/TEACHER LICENSE: This license is reserved for INDIVIDUAL students and teachers using images/videos for school projects and classroom lectures ONLY. Online usage (websites, apps, learning portal, publications, social media...) is NOT allowed under this license. By purchasing the selected images you hereby agree and acknowledge that you are not acquiring any right, title or interest in or to the images or any associated copyrights, other than the right to possess, hold and use the images for educational, non-commercial purposes. Furthermore, you agree that you will not copy, duplicate, distribute or otherwise reproduce the images. This is a SINGLE SEAT license, it authorizes one natural person to license, download, and use images.
4. STANDARD LICENSE: By purchasing the selected images/videos, you are granted a non-exclusive, non-transferable, non-sublicensable right to use the licensed images/videos in any and all media for the following purposes:
4a. Advertising and promotional materials, for print runs of up to one hundred thousand (100,000) copies in the aggregate;
4b. Broadcast and theatrical exhibitions, for an intended audience of up to one hundred thousand (100,000) viewers in the aggregate;
4c. Print publications and physical products, for print runs of up to one hundred thousand (100,000) copies in the aggregate;
4d. Electronic publications, for up to one hundred thousand (100,000) end users licenses or for an intended audience of up to one hundred thousand (100,000) viewers in the aggregate;
When a video is used as part of an online course for resale, each individual video should constitute less than 10% of the total course time, and all materials from Alila Medical Media should constitute less than 50% of the total course materials/time.
4e. On website, for up to a total of one hundred thousand (100,000) visitors during lifetime use of the images/videos; provided that no image is displayed at a resolution greater than 800 x 800 pixels;
4f. Teaching/academic uses for an intended audience of up to one hundred thousand (100,000) viewers/students in the aggregate;
4g. Any other uses approved by Alila Medical Media in writing.
This license does NOT allow posting the images/videos on Social Media such as Youtube, Facebook, Vimeo, Twitter...
When images/videos are uploaded to online platforms (websites, learning portals, blackboard, apps...), the download function must be disabled - viewers should NOT be allowed to download the images/videos.
Standard License is a SINGLE SEAT license, it authorizes one natural person to license, download, and use images/videos. You may use images/videos on behalf of your company/organization but you are the only one who can handle the images/videos. If you work in a team within a company, please use our Extended License. Standard License may NOT be used for legal proceedings, please use our Extended License for this purpose.
NOTE: If you choose to purchase a Standard License for your company/organization use, you will be the person responsible for proper usage of the images/videos by your company/organization; your company/organization may use the images/videos only for as long as you are working for the company/organization. When you leave the company/organization, all images/videos licensed under your name and Standard License must be removed from uses (app, website,..) immediately.
5. EXTENDED LICENSE: Same as Standard License above except that there is no limit to the number of print run copies, end user licenses or intended audience viewers. Extended License is also MULTIPLE SEATS allowing many users within ONE organization/company/institution to share the same images/videos while working on common projects and for common projects of the said organization/company/institution ONLY.
This license does NOT allow posting the images/videos on Social Media such as Youtube, Facebook, Vimeo, Twitter...
When images/videos are uploaded to online platforms (websites, learning portals, blackboard, apps...), the download function must be disabled - viewers should NOT be allowed to download the images/videos.
Extended License may also be used for legal proceedings, limited to ONE case per license and provided that you will take ALL responsibility regarding the use of the images/videos. Alila Medical Media will NOT be liable for any losses, damages, disputes of any nature resulting from the use and accuracy of contents of the images/videos.
5A. SOCIAL MEDIA LICENSE: Same as Extended License above plus the right to post the Videos on Social Media such as Youtube, Facebook, Vimeo, Twitter... All images must be resized to lower than 800px X 800px before posting on social media. The line ©Alila Medical Media is required on all images/videos posted on social media.
6. FOR WEB DESIGNERS/MEDIA MAKERS WHO WANT TO USE IMAGES/VIDEOS FOR THEIR CLIENTS: You would need ONE license for EACH of your clients. The type of license is determined by your client uses of images/videos. Images/videos can be modified to suit your client needs but will remain copyrighted by Alila Medical Media and must be credited accordingly (see section 10). The modified images/videos will subject to the same licensing terms and restriction as the original images/videos.
7. RESTRICTIONS FOR ALL LICENSES:
7a. Images/videos may not be resold, sub-licensed, assigned, transferred or otherwise made available to third parties except as incorporated into Works for Distribution as specified in points 4a to 4d. Images/videos may not be distributed to third parties as a standalone file, or as part of a larger image/video collection, or in a way that unreasonably permits the recipient to extract the images/videos for use separate and apart from the Work for Distribution. You will make reasonable best efforts to safeguard against unauthorized third-party access to licensed images/videos. When images/videos are uploaded to online platforms (websites, learning portals, blackboard, apps...), the download function must be disabled - viewers should NOT be allowed to download the images/videos as standalone files.
7b. You may not distribute the images/videos in any library or reusable template, electronic or otherwise, including but not limited to website templates, intended to allow reproduction by third parties on electronic or printed products. You may not distribute the licensed images/videos in a manner meant to enable third parties to create derivative works incorporating the images/videos.
7c. You may not make “print on demand” sale of the images (you may not post them for sale on "print on demand" sites such as Zazzle or Cafepress or similar; you are welcome, however, to order products from these sites with our images for your own use).
7d. (Except for Social Media License) You may not post the videos on Youtube or similar video sharing websites as standalone files or in a derivative product where the video(s) constitute more than 50% of the product. You may, however, upload them as unlisted/unsearchable videos accessible ONLY to yourself and for the SOLE purpose of embedding the videos to your website.
7e. (Except for Social Media License) You may not upload the images/videos to social media websites such as Facebook, Twitter and the like.
7f. You may not modify the images/videos and sell/distribute/give away them to others for consumption, reproduction or re-sale.
7g. You may not incorporate the images/videos into a logo, trademark or service mark.
7h. You may not use the images/videos in a manner that violates the law of any applicable jurisdiction.
7i. You may not use the images/videos in a pornographic or defamatory manner.
8. NOTE ABOUT CUSTOM WORK: All custom made images/videos are subject to the same licensing terms as all other images/videos on our website. Alila Medical Media is the sole copyright holder of all custom works. However, Alila Medical Media will NOT be liable for any infringement arisen from custom content requested by its clients. It is the responsibility of the client to ensure legality of such requested content.
9. NOTE ABOUT TRANSLATION OF VIDEOS: All translations of video scripts to any and all languages, regardless of who provides them, are property of Alila Medical Media. Alila Medical Media reserves all rights to all videos translated by our customers. All translated videos are subject to the same licensing terms as the original videos.
10. CREDIT ATTRIBUTIONS AND COPYRIGHT NOTICES:
We require that all images/videos in use are properly credited to "©Alila Medical Media".
- All images/videos used online (on websites, in apps,..) must have the copyright/credit line "©Alila Medical Media". You are free to change the font, size, color, location of the text but the credit line must be clearly legible on each and every images/videos. Videos that are used on their own - without being integrated into longer videos - are required to retain the credit line (or our small logo at the bottom right/left corner) on each and every frame. If you have significantly modified the images/videos, the credit line should read "modified from original image/video by Alila Medical Media".
- ONLY when the images/videos are used as part of a physical product and/or in a larger production (in a book, in a TV production, a longer video...) the credit line/corner logo may be removed from the images/videos themselves, and credit must be given in the credit section (if there is one) or at the end of the product/final video production.
- Videos used individually as part of a digital product (online course...) must retain the logo at a video corner.
- Images/videos bought under Student/Teacher License or Social Media License MUST always retain the copyright line/corner logo. NO exception allowed with these Licenses.
- In ALL cases, it must be easy, straightforward for a reader/viewer to identify the source of the images/videos.
11. NO-RETURN POLICY: All sales of downloadable contents are final. No return requests will be entertained for downloadable contents.
